Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Yuuki Digital Inc. ("Yuuki," "we," "us," or "our") governing your access to and use of the Yuuki Digital AI Girlfriend application, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access the Service. Your access to and use of the Service is also conditioned on your acceptance of and compliance with our Privacy Policy.

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Yuuki is an AI-powered virtual companion application that provides interactive experiences including but not limited to:

• Text-based conversations with customizable AI characters
• Voice interactions and AI-generated singing
• 3D VRM avatar animations and dance performances
• Background customization and scene changes
• Media sharing capabilities (images, audio, video)
• Virtual gift giving and item exchange
• Daily check-in rewards and loyalty programs
• Character customization and wardrobe changes

The Service uses artificial intelligence to generate responses, create content, and simulate interactions. You acknowledge that the AI character is not a real person and that all interactions are simulated.

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You agree not to use the Service:

• For any unlawful purpose or to solicit the performance of any illegal activity
• To harass, abuse, insult, harm, or discriminate against others
• To create or share content that is obscene, pornographic, defamatory, or otherwise objectionable
• To impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation
• To upload or transmit viruses, malware, or other malicious code
• To attempt to gain unauthorized access to any portion of the Service or any other systems or networks
• To interfere with or disrupt the Service or servers or networks connected to the Service
• To use automated systems or software to extract data from the Service ('scraping')
• To share your account credentials or allow others to access your account
• To use the Service in any manner that could disable, overburden, damage, or impair the Service

6.1 Yuuki Content

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Yuuki Digital Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Yuuki Digital Inc.

6.2 VRM Avatars and Characters

All 3D VRM models, character designs, animations, and related assets provided through the Service are licensed to you for personal, non-commercial use within the Service only. You may not extract, modify, distribute, or create derivative works from these assets without express written permission.

6.3 User-Generated Content

You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with providing and improving the Service.

You represent and warrant that: (i) you own the User Content or have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your User Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.

The Service utilizes artificial intelligence to generate responses, conversations, and other content. You acknowledge and agree that:

• AI-generated content may not always be accurate, appropriate, or reliable
• The AI character is a simulation and does not have consciousness, feelings, or genuine emotions
• Conversations with the AI character should not be considered professional advice (legal, medical, financial, or otherwise)
• We do not guarantee the quality, accuracy, or appropriateness of all AI-generated responses
• The AI may occasionally produce unexpected or unpredictable content

We continuously work to improve our AI systems, but we cannot guarantee that all generated content will be suitable for all users or situations.

The Service may include virtual items, currencies, or rewards that can be earned through check-ins, activities, or purchased with real money. These virtual items have no real-world value and are not transferable outside the Service.

All purchases of virtual items are final and non-refundable, except as required by applicable law. Virtual items may be modified, removed, or discontinued at any time without notice.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YUUKI DIGITAL INC. MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, AND HEREBY DISCLAIMS AND NEGATES ALL OTHER WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY OR OTHER VIOLATION OF RIGHTS.

YUUKI DIGITAL INC. DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS CONCERNING THE ACCURACY, LIKELY RESULTS, OR RELIABILITY OF THE USE OF THE SERVICE OR OTHERWISE RELATING TO SUCH MATERIALS OR ON ANY SITES LINKED TO THIS SERVICE.

IN NO EVENT SHALL YUUKI DIGITAL INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

You agree to defend, indemnify, and hold harmless Yuuki Digital Inc. and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: (i) your use and access of the Service; (ii) your violation of any provision of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
